The board of directors of Fnac Darty issued a “ favorable and unanimous” opinion regarding the public takeover bid (OPA) launched in January by EP Group . The company controlled by Czech billionaire Daniel Křetínský values the French retail group at approximately 1.100 billion euros.
The company's shareholders and holders of OCEANEs (convertible bonds) are advised to accept the offer presented by the investor. EP Group is offering €36 per share, a value that includes the dividend due in 2025. This represents a 19% premium over the last closing price of the shares before the announcement of the transaction.
According to the board of directors, the operation provides shareholders who choose to sell their holdings with an opportunity for immediate liquidity under conditions considered attractive.
The operation is still subject to regulatory approval.
Nevertheless, the acquisition remains dependent on analysis by the Financial Markets Authority (AMF), the French supervisory body. If it receives the green light from the regulator, the transaction could be completed during the second half of 2026.
Enrique Martínez, who has led Fnac Darty since 2017, highlighted that the company has built a relationship of trust with the EP Group, its largest shareholder. According to the manager, this relationship was crucial in completing the acquisition of the Italian chain Unieuro , considered a strategic operation for the group's growth.
"The reasoned opinion of the board of directors confirms the merits of this project, especially for the company and its employees, and reflects renewed support for our long-term strategic plan ," he stated.
EP Group wants to control 100% of the company.
EP Group has launched an offer to acquire 100% of Fnac Darty's capital, although it already holds 28,5% of the company through Vesa Equity Investment. The transaction will be completed if the investor manages to exceed 50% of the company's share capital.
In presenting the proposal, the group linked to Daniel Křetínský guaranteed that it does not intend to alter the company's dividend policy. Furthermore, it indicated that it will accelerate the strategy already defined by Fnac Darty should the acquisition be completed.
The EP Group also maintains a presence in the Iberian market through a partnership with Eroski. Both companies hold equal stakes in Supratuc 2020, which controls Caprabo and Eroski's operations in the Balearic Islands.
